Terms of Service
Terms of Service
These Terms of Service ("Terms") govern the use of the customer support platform products "Kotoyui Talk", "Kotoyui Voice", "Kotoyui Link", and "Kotoyui Insight" (collectively, the "Service") provided by Kotoyui, Inc. ("we", "us"). Companies and organizations applying to use the Service ("Customers") must agree to these Terms. The Japanese version is the authoritative text; this translation is provided for reference.
Article 1 (Scope)
- These Terms apply to all aspects of the relationship between us and the Customer concerning use of the Service.
- Individual contracts, quotations, and service descriptions we issue separately form part of these Terms. In case of conflict, the individual contract prevails.
Article 2 (Formation of contract)
- A contract for use of the Service is formed when we accept the Customer's application and open the account.
- We may decline an application if it contains false information, if the applicant has previously breached these Terms, or if we otherwise reasonably judge the application inappropriate.
Article 3 (Fees and payment)
- Fees are as stated in the individual quotation.
- The Customer shall pay by bank transfer to our designated account by the date stated on the invoice. Transfer fees are borne by the Customer.
- Late payments accrue interest at an annual rate of 14.6%.
Article 4 (Prohibited conduct)
In using the Service, the Customer must not:
- violate laws or public order and morals;
- interfere with the operation of the Service or impose excessive load;
- reverse engineer, duplicate, or sublease the Service;
- infringe intellectual property rights of us or any third party;
- gain unauthorized access, impersonate others, or use accounts without authorization;
- use the Service for discriminatory or defamatory responses to end users;
- engage in any other conduct we reasonably deem inappropriate.
Article 5 (Intellectual property)
- Intellectual property rights in the Service belong to us or to the respective rights holders. Entering into a contract does not transfer any such rights.
- Rights in data the Customer registers or transmits through the Service (knowledge, response texts, conversation data, etc.) belong to the Customer. We use such data only to the extent necessary to provide the Service.
Article 6 (Changes and suspension of the Service)
- We may suspend all or part of the Service for maintenance, incident response, or other unavoidable reasons, with prior notice to the Customer (or prompt notice afterward in emergencies).
- We continuously improve the Service and may change features. Changes with material operational impact are notified at least three months in advance, in principle.
Article 7 (Disclaimers and liability)
- We do not warrant that the Service will fit the Customer's specific purposes or operate entirely without interruption, except for service levels agreed in individual contracts.
- We make reasonable efforts to improve the accuracy of AI-generated responses but do not guarantee their completeness. The Customer configures and reviews AI response content at its own responsibility.
- Where we are liable for damage caused to the Customer, our aggregate liability is capped at the total fees paid by the Customer in the twelve months preceding the event giving rise to the damage.
Article 8 (Termination)
- The Customer may terminate the contract by written notice with the notice period specified in the individual contract.
- If the Customer breaches these Terms and fails to remedy the breach after our demand, we may terminate the contract.
- Upon termination, we erase the Customer's data by the agreed date.
Article 9 (Governing law and jurisdiction)
- These Terms are governed by the laws of Japan.
- The Tokyo District Court has exclusive jurisdiction in the first instance over disputes arising in connection with the Service.
